AS9100 Supplement to Purchase Order Terms and Conditions 

This AS9100 Supplement (“Supplement“) is made part of and incorporated into the Purchase Order Terms and Conditions (“Terms“) issued by Red6 to Seller. Capitalized terms used in this Supplement but not otherwise defined have the meanings set forth in the Terms.  

1. Purpose and Scope 

1.1 Purpose: This Supplement outlines additional requirements to ensure compliance with AS9100 Quality Management System (QMS) standards applicable to the Products and Services provided by Seller to Red6. 

1.2 Scope: This Supplement applies to all Purchase Orders issued by Red6 to Seller where Seller’s Products or Services may be within the scope of or subject to AS9100 and governs the quality management and compliance obligations related to such orders. 

2. AS9100 Certification and Compliance 

2.1 Certification Requirement: Seller must hold and maintain valid AS9100 certification, or an equivalent standard recognized by the aerospace industry. Certification must be from a certification body accredited by the International Accreditation Forum (IAF) or an equivalent authority. Seller shall provide Red6 with a copy of the certification upon request and notify Red6 of any changes in certification status. 

2.2 Regulatory Compliance: Seller shall adhere to all relevant statutory and regulatory requirements applicable to the aerospace industry in connection with the Products or Services provided under this Purchase Order. 

  1. Documentation for Special Processes

3.1 Special Processes: If Seller is performing any special processes, Seller is required to provide one of the following documents to ensure the process conforms to all specification and contractual requirements: 

  • Certificate of Compliance 
  • Certificate of Conformance 
  1. Material Suppliers

4.1 Material Certifications: Material certifications must accompany all Products shipped under this Purchase Order, stating that all materials supplied meet specification and Purchase Order requirements. 

  1. Packaging

5.1 Packaging Requirements: All materials must be packaged suitably for ground or air transportation and must provide protection from in-transit damage. Failure to comply with packaging requirements will result in the rejection of the product or parts. Red6 reserves the right to make a disposition on any damaged product to determine whether parts will be returned for credit or deemed usable. If Red6 determines the product or parts are damaged and dispositioned as not usable, Red6 reserves the right to reject the shipment and return it to the sender at the sender’s cost for reprocessing or sorting of damaged product or parts. 

  1. Shipping

6.1 Shipping Documentation: All shipping documents (bills of lading, etc.) must reference Red6’s Purchase Order Number. All material shipments must comply with Red6’s packaging requirements. Every shipment must be protected to ensure the quality, preservation, and safety of the shipment. All freight instructions must be executed. Failure to follow these instructions will result in Red6’s non-liability for freight charges, and freight charges will be billed to Seller. 

6.2 Drop Shipments: The above instructions apply only to Products/materials being delivered to Red6 unless drop shipment authorization is given. 

  1. Counterfeit Parts

7.1 Counterfeit Parts Program: Seller must have a counterfeit parts program to prevent the use of unauthorized copies, imitations, substitutes, or modified parts that are knowingly misrepresented as specified genuine parts of an original or authorized manufacturer. If counterfeit parts are detected in Products procured, Seller must notify Red6 within 24 hours. 

  1. Foreign Object Debris (FOD)

8.1 FOD Control: Seller must ensure that processes and Products are free from Foreign Object Debris (FOD). FOD includes substances, debris, or articles alien to any raw materials purchased. 

  1. Obligations and Covenants of Seller

9.1 Approval Requirements: Seller must ensure that Products, Services, procedures, processes, and equipment receive appropriate approval from Red6 as required. 

9.2 Qualification of Personnel: Seller must ensure that personnel involved in the production or servicing of Products are properly qualified and trained. 

9.3 Quality Management System: Seller must maintain a quality management system that meets AS9100 requirements, including managing specifications, drawings, process requirements, inspection/verification instructions, and other technical data. 

9.4 Design and Verification Requirements: Seller must adhere to requirements for design, testing, inspection, and verification, including production process verification and the use of statistical techniques for product acceptance. This includes managing critical items and key characteristics. 

9.5 Test Specimens: Seller must provide test specimens as required for design approval, inspection, verification, investigation, or auditing, including details on production methods, quantities, and storage conditions. 

9.6 Nonconforming Product: Seller must: 

  • Notify Red6 of nonconforming Products. 
  • Obtain Red6 approval for the disposition of nonconforming Products. 
  • Notify Red6 of any changes in product/process, suppliers, or manufacturing facility locations, and obtain Red6 approval where required. 
  • Flow down applicable requirements to the supply chain, including customer requirements. 

9.7 Records Retention: Seller must retain records for a minimum of 5 years and dispose of records after 5 years in accordance with vendor requirements. 

9.8 Right of Access: Seller must grant Red6, its customers, and regulatory authorities the right of access to all applicable areas of facilities involved in the order and to all applicable records. 

9.9 Certificates and Test Reports: Seller must provide certificates, test reports, and/or airworthiness certificates as required. 

9.10 Employee Awareness: Seller must ensure that its employees are aware of their role in ensuring product conformity, Product safety, and the importance of ethical behavior.
